The study strives to explore the impact of M&A in the banking industry in India and identify post merger integration issues in the bank mergers. The study draws from a mix of recent literature review and interpretations of observations of employees and managers. It evaluates various reasons for M&A, post merger integration problems and impact of merger and acquisition on employees in the context of CBoP and HDFC bank merger. The first objective aims at exploring the implications of the merger for the shareholders. Second objective aims at studying the impact of merger on employees. The third objective aims at identifying the post-merger integration problems and issues for bank management. Only those branches, which merged after HDFC-CBoP merger, were considered for the survey.The study reveals that problems of post merger integration are mainly concerned with differing cultures, varied and different financial practices, and variety of softwares being used by the merging entities. Secondly, the integration process involves redistribution of work and retraining of the employees on a gigantic scale. The banking mergers in future have to be prepared for these challenges before hand;

Master's Thesis from the year 2012 in the subject Business economics - Banking, Stock Exchanges, Insurance, Accounting, grade: 8, University of Twente (School of Management and Governance), language: English, abstract: In the following thesis I examine the performance effects of merger within the German cooperative banking sector on the basis of agency, synergy and market power related changes. Furthermore, from a strategic management perspective the role of strategic similarities is analyzed. Performance enhancing effects are found from a synergy and market power theory perspective in terms of a reduction in interest costs. Furthermore, problems with synergy gains in the area of personnel costs are discovered. These are so serious that they have hampered a significant change in overall bank performance. A change in market power is also measured in terms of a significant increase in other operating income. It is not possible to detect any significant change in agency related costs. Further, I describe that strategic similarities and size differences are not leading to increased profitability. Instead, differences in diversity of earnings are found to be performance enhancing. Therefore, the previously described increase in other operating income can also be facilitated by economies of scope: services that are originally only provided to the customers of one bank are in the post-merger period provided to the united institute's combined customer base.

Inhaltsangabe:Abstract: Champions of Human Capital in organisations, such as Human Resources directors, are in need of empirical evidence to justify to board members, CEOs and ultimately shareholders why financial investments into Human Capital should be increased or at least maintained. The research questions posed in this thesis take on the challenge to find empirical evidence that investment in Human Capital, through Human Resources, has a positive impact on intermediate as well as accounting and share-value indicators of organisational performance. This literature review summarises, integrates and evaluates research published between 1998 and 2003 pertaining to the direct and indirect relationship between Human Resources on different indicators of intermediate and bottom-line performance. The review is comprised of 31 articles clustered into the following topics: strategic HRM, Human Resources Development, technology, diverse workforces and flexible working conditions and methodological issues in HR-organisational performance research. Evidence for the direct and indirect impact of HR on organisational performance is discussed and the findings are interpreted with reference to Ostroff and Bowen’s Multi-Level Model (2000), which explains the individual, organisational and inter-level relationships between Human Resources and organisational performance. Enabling conditions that strengthen the HR-organisational performance relationship are identified. Methodological issues s...

Master's Thesis from the year 2015 in the subject Economics - Case Scenarios, grade: 65, Aston University, language: English, abstract: The slow and deteriorating performance of the electricity power sector over the last few decades triggered the Federal Government of Nigeria to embark on a power sector reform program. This study examines the impact of the power sector reform (restructuring and privatization) on the performance of the electricity sector in Nigeria over the past twenty-five (25) years. Relevant electricity indicators are used to access the performance changes in three significant period; pure state-ownership, transition (restructuring and unbundling) and full privatization of the sector.The study also assesses how the effect of the economic environment, regulatory governance and political climate/effectiveness within the period contributes to the improvements in the electricity sector. The results shows that privatization is associated with improvement in the technical efficiency, access to electricity, electricity consumption per capita and an increase in electricity tariff in the sector. Furthermore, the results highlight the significant relationship between regulatory governance and a robust economy on the performance changes observed in the power industry.

In this study we estimate the total factor productivity growth of Pakistan's commercial banking sector for the period 1992 - 2000 by bringing together the supply and demand sides of banking services. We employ the translog cost function that includes inputs like labour, capital, operating cost and deposits. The two outputs of the banking sector considered for analysis are loans, advances and investment, and contra accounts. The study provides estimates for the total factor productivity which has shown an upward trend for the period under consideration. The results obtained suggest that the total factor productivity of Pakistan's commercial banks has been increasing since the start of the various banking sector reforms in the 1990s, but growth has followed a fluctuating pattern. It also determines growth for each year and sheds light on the performance of the banking sector in different periods in the light of different phases of reforms. The decomposition of TFP shows that the scale effect is the most critical factor in total factor productivity growth followed by output effect and technical change effect.

Master's Thesis from the year 2014 in the subject Business economics - Investment and Finance, grade: 1,0, Heriot-Watt-University Edinburgh (Finance), course: Corporate Finance, language: English, abstract: Theoretical and empirical research has indicated that overconfidence affects merger decision-making and merger premium. However, founder-CEOs have not been subject of such a study, yet. This lack is particular surprising when considering the differences between founder and manager-CEOs as well as the media attention of founder-CEOs. The present dissertation aims to fill the research gap through investigating the effect of founder-CEO overconfidence on merger premium in the high-tech industry. Moreover, this dissertation aims to extend the literature by including target CEO overconfidence and studying the impact on merger premium when both, acquirer and target CEO are overconfident. By studying founder-CEOs this dissertation also aims to establish the effectiveness of founders as CEOs. The resource-based perspective argues that while founders help in the early years of the company, they become less effective as the firm evolves, since they lack the necessary management skills. Design/methodology/approach - Using ordinary least square (OLS) technique, this study investigates the effects of implemented factors in determining the merger premium paid in high-tech acquisitions. A sample consisting of 245 acquisitions in the high-tech industry of 124 CEOs during a 19-year per...

Thirty teachers and 50 students were randomly selected from three government secondary schools in Jos North Local Government Area of Plateau State. Data was collected using a well-structured questionnaire. Responses were presented using descriptive statistics and analyzed using Pearson Product Moment Correlation Coefficient statistical method to confirm the hypotheses generated for the study at 5% probability level. The findings of this study reveal that there is a significant relationship between teachers' remuneration and quality teaching in Nigeria. Based on the findings of this research study, teachers' remuneration significantly affect both extrinsic and intrinsic motivating factors, increased teacher absenteeism, teachers-students interpersonal relationships as well as commitment to work, consequently contributing to dwindling educational quality and academic performance of primary school students. It consists of two parts, (1) an analysis of the implications of changes in European Corporate Law, and (2) an assessment of their impact on post merger integration. Part 1 is about the European Court of Justice's jurisdiction and its implications on German Corporate Law: It explores how European Law is influencing and thereby changing national law. Having analysed the effect of its rulings on - until recently in continental Europe prevailing - seat theory, I carefully analyse the subsequent developments and trends, including reform of the German Limited Liability Company Act (MoMiG), competition of legal forms, opportunities offered by recently introduced supranational legal forms with particular focus on the Societas Europaea, and EU merger directive with its influence on the German Transformation Act. Part 2 not only critically evaluates prevailing merger integration theories, it also reflects on the opportunities the afore-mentioned changes in European Corporate Law offer to successful post merger integration. Hence, I analyse and further develop Jansen's 7c model and educe a strategic plan.

Inhaltsangabe:Abstract: The essay is about the English and the German banking system, their characteristics and the implications of these. As the English banking system is defined as a specialised banking system and the German one is known as a universal banking system, these terms are explained in the first chapter. Furthermore, the chapter deals with the history of both systems to make clear why these two banking systems developed into two different directions. After having looked at the differences of the two alternative banking systems, their structure is analysed in more detail in the second chapter. All different kinds of banks existing in England and Germany are identified and their scope of functions and goals are described. In the following some important features of the banking systems, such as short-termism and corporate governance, are analysed in great detail. This means that these features are defined and their causes and consequences are identified and evaluated. After the different banking systems have been described with regard to their structure and features, the objective of the next chapter is, to point out the implications of these systems on companies’ performance. Therefore it is first of all necessary to define performance and the factors being responsible for a high or low economic performance. Afterwards, the influence of the banking systems on these factors are analysed. The last chapter of this essay shortly describes other existing opinions concer...

It is innovative in three ways: firstly, it brings together financial and corporate governance indicators as explanatory variables; secondly, it uses an extensive number of dependent and explanatory variables compared with previous studies on Russia; thirdly, it classifies the ownership of banking institutions using the definition of majority ownership at 20% level.The findings suggest that there are some differences in the determinants of bank's profitability by ownership type: personnel cost ratio and bank portfoliocomposition ratio dominate in state-influenced banks; capitalisation, reserves and default risk ratios dominate in domestic private-owned banks; and capitalisation ratios dominate in foreign-owned banks. Operating efficiency and credit risk are important factors influencing performance across all ownership types. Furthermore, control variables such as inflation, GDP growth, the size of the banking sector, and the bank asset share ratio are significant, suggesting that they play an important role ...

Groundnut (Arachis hypogaea L.) is a valuable crop for millions of small-scale farmers throughout the tropics. In spite of its importance the yield of the crop in Nigeria is still low and very little is known about the response of peanut cultivars to locally and easily available cow manure in the region. A field experiment was conducted during 2007 and 2008 rainy seasons to study the effects of cow dung and Sokoto rock phosphate on the growth and yield of groundnut in the semi-arid zone of Nigeria. Treatments consisted of factorial combination of two groundnut varieties, four Sokoto rock phosphate levels and three cow dung levels laid out in a randomized complete block design replicated three times. Results revealed that Ex-Dakar cultivar was superior in most of the parameters observed. Results revealed no significant effect of SRP on the performance of the parameters observed. Also, application of 15 t ha-1 maximizes the performance of the crop. Thus, from the findings of this research, Ex-Dakar variety could be planted for increased groundnut production more so when combined with the application of cow dung at the rate of 15 t ha-1.

The adoption of electronic self-service systems (SSTs), using information technology (IT) devices and channels, in banking (also known as electronic banking or e-banking) has evolved in the last decade. In Nigeria, these developments, driving the transformation to a cashless economy, are however fraught with problems ranging from incidents of fraud, empty automated teller machines (ATMs), the inability of the ATMs to dispense cash, and outright service unavailability. This book proposes service improvements following the measurement of consumer perceptions using the scale, EBQUAL represented by dimensions - acceptability, accessibility, competence, convenience, reliability, responsiveness, security/privacy, access to support, availability of support, and usability. The book concludes that even though Nigerian bank customers are desirous of participating in the cashless economy, issues of cash security and bank responsiveness are paramount. In addition to the EBQUAL scale for the measurement of e-banking quality, the service improvement proposals posited are also relevant to e-banking operators, bank customers and regulators for effective development, use, and evaluation.

The challenge is to determine how much risk and uncertainty is acceptable, and how to cost effectively manage the risk and uncertainty while meeting the organisation's strategic and operational objectives. For many large organisations, quality or so called 'customer perceived quality', has become an issue of survival. Furthermore, increased competitiveness is necessary in order to become the obvious choice for the customer.Companies view culture as something to be influenced to achieve organisational goals of productivity and profitability. Attempts to change the culture of an organisation, may meet with varied levels of success. The author anticipates finding ways to improve organisational culture, which in turn would facilitate quality improvement within an organisation.

This study contributes the literature by developing a new method of measuring political dominance combining the legislative and executive branches in bi-party political system and by investigating the effect of political dominance on economic performance using panel data for forty-six states of United States for the period 1937-1996. Economic performance is measured by the relative level of per-capita personal income and growth of per-capita personal income. This study finds that political dominance has significant negative effects on the level of relative per-capita personal income and on the growth of per-capita personal income. Additionally, this study modifies the two existing measures of political dominance using exclusively seat share of legislative branches or governor’s vote share and examines the short run effect of political dominance on economic performance using these modified measures. It finds that political dominance using exclusively seat share of legislative branches or governor’s vote share either overestimates or underestimates the effect of political dominance on economic performance.

The existing corporate performance measurement system is heavily inclined towards financial and physical aspects and lacks the relevant information on intellectual capital efficiency. The available ranking, performance measurement and market valuation for local banks are based on traditional measures; such as accounting figures or financial ratios ignoring the fact that, the intellectual capital is the banks’ primary input and is the most important resource for progress. This apparent inability of traditional financial accounting methods to adequately explain the gap between a firm’s market value and its financial performance has induced many researchers to carry out investigations on the role of intellectual capital, an element not fairly recognized in the financial statements. This book therefore examines the effect of intellectual capital on the financial performance of listed commercial banks in Kenya. The analysis is useful to investors, financial analysts or shareholders who are interested in knowing how the size of intellectual capital in a firm affects the firm’s performance. It also serves as a basis for further research and discussions on intellectual capital.
